Terms of Service

These Terms of Service ("Terms") govern access to and use of the adminbolt platform and related services provided through https://adminbolt.com ("Service"). adminbolt provides a hosting control panel designed for businesses, developers, and hosting providers.

By accessing, purchasing, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

These Terms form a legally binding agreement between you and adminbolt Inc.

1. Definitions

For purposes of these Terms:

  • "adminbolt", "we", "us", or "our" refers to adminbolt Inc., the operator of the adminbolt platform and website located at adminbolt.com.
  • "Customer", "User", or "you" refers to a business entity, organization, or individual acting in a professional or commercial capacity that accesses or uses the Service.
  • "Service" refers to the adminbolt hosting control panel software, website, documentation, updates, and related services.
  • "Software" refers specifically to the adminbolt control panel software made available through the Service.
  • "Account" refers to a registered account used to access adminbolt services, downloads, or licensing systems.
  • "Content" refers to any information, data, code, configuration files, or materials uploaded, stored, or processed using the Service.

The Service is intended solely for business and professional use. Consumers acting in a personal capacity should not use the Service.

2. Acceptance of Terms

By accessing or using the Service, you confirm that:

  • You are acting on behalf of a company, organization, or business entity
  • You have authority to bind that entity to these Terms
  • Your use of the Service complies with applicable laws and regulations

If you are using the Service on behalf of an organization, the organization is responsible for compliance with these Terms.

4. Fees, Billing, and Subscriptions

Customers must pay all applicable fees for the Service as specified during the purchasing process. By providing a payment method, you authorize adminbolt Inc. to charge that payment method for all applicable fees, including recurring subscription charges.

Subscriptions and Renewals:

  • Unless otherwise stated, Service subscriptions automatically renew for the same billing period.
  • You must cancel your subscription before the renewal date to avoid being charged for the next billing cycle.
  • Cancellation requests must be submitted through the adminbolt billing portal or customer account.

Refund Policy:

  • All purchases, fees, and subscription charges are non-refundable.
  • adminbolt does not provide prorated refunds for partially used billing periods or canceled subscriptions.

Taxes:

  • Fees do not include local, state, or federal taxes, levies, or duties.
  • Customers are responsible for paying all taxes associated with their purchases, excluding taxes based on adminbolt Inc. net income.

5. License Grant

Subject to compliance with these Terms and any applicable license agreement, adminbolt grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the adminbolt control panel software
  • Access documentation and updates provided through the Service
  • Use the software for your internal business operations or hosting services

License Limits and Upgrades:

  • Your license is limited to the specific parameters selected during purchase, such as a designated IP address, number of accounts, or server resources.
  • Attempting to circumvent these limits, or using the Software across multiple unauthorized servers, is a material breach of these Terms.

The license does not grant ownership rights in the Software. All rights not expressly granted are reserved by adminbolt Inc.

6. Intellectual Property

All intellectual property rights in the Service remain the exclusive property of adminbolt Inc. and its licensors. This includes but is not limited to:

  • Software code
  • User interface design
  • Documentation
  • Branding and trademarks
  • System architecture
  • APIs and integrations

Users may not:

  • Copy or redistribute the Software except as permitted
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove copyright or proprietary notices
  • Create derivative works based on the Software

Feedback or suggestions submitted to adminbolt may be used by adminbolt without restriction or compensation.

7. Acceptable Use

The Service must be used in compliance with applicable laws and industry standards. You may not use the Service to:

  • Operate or facilitate spam operations
  • Distribute malware or malicious code
  • Conduct phishing or fraud
  • Engage in unauthorized network scanning or intrusion
  • Host illegal content
  • Violate intellectual property rights
  • Interfere with the security or integrity of networks

The Service must not be used to operate infrastructure that knowingly supports illegal activities. Users operating hosting services using adminbolt are responsible for the activities of their customers. adminbolt may suspend access to the Service if misuse is detected or suspected.

8. Customer Responsibilities

Customers are responsible for:

  • Maintaining secure server configurations
  • Applying security updates
  • Protecting hosted data
  • Implementing backups
  • Monitoring infrastructure under their control

adminbolt provides a control panel platform and management interface. adminbolt does not operate or manage customer servers unless explicitly agreed in a separate contract. Customers remain fully responsible for their hosting environments.

9. Technical Support and License Verification

Scope of Support:

  • adminbolt provides technical support solely for the installation, configuration, and operation of the adminbolt Software.
  • Support does not cover third-party applications, operating systems, hardware issues, or custom scripts.

Server Access and Liability:

  • In certain cases, you may choose to grant adminbolt support staff administrative or root access to your server for troubleshooting purposes.
  • adminbolt requires you to perform a full, verified backup of your server and data before granting such access.
  • adminbolt is not responsible or liable for any data loss, system corruption, or downtime that occurs during or after troubleshooting activities on your infrastructure.

License Verification and Audit:

  • To prevent unauthorized use and piracy, the Software periodically communicates with adminbolt licensing servers.
  • adminbolt reserves the right to remotely verify your installation to ensure compliance with these Terms and your specific license limits.
  • The use of unauthorized, modified, or cracked versions of the Software will result in immediate account termination, revocation of all licenses, and potential legal action.

10. Updates and Modifications to the Service

adminbolt may modify or update the Service periodically to:

  • Improve performance
  • Address security vulnerabilities
  • Add new functionality
  • Maintain compatibility with infrastructure changes

Updates may be delivered automatically or through new software releases. adminbolt is not required to maintain compatibility with outdated systems indefinitely.

11. Service Availability

adminbolt strives to provide reliable access to the Service. However, availability cannot be guaranteed. The Service may be temporarily unavailable due to:

  • Maintenance
  • Infrastructure failures
  • Security incidents
  • Third-party provider outages
  • Network disruptions

adminbolt is not liable for losses caused by service interruptions beyond its reasonable control.

12. Data Processing and Privacy

adminbolt processes limited personal data necessary to operate the Service, such as:

  • Account registration information
  • Technical usage logs
  • Support communications

adminbolt processes personal data in accordance with applicable privacy laws, including the General Data Protection Regulation where applicable.

For users located in the European Economic Area or the United Kingdom:

  • Personal data is processed on the basis of contractual necessity or legitimate interests
  • Users have rights to access, correct, or request deletion of personal data where applicable
  • Data transfers outside the European Economic Area may occur with appropriate safeguards

Customers using adminbolt to manage hosting environments remain responsible for the personal data they process on their servers. adminbolt acts only as a software provider and does not control customer-hosted data. 13. Warranties Disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, adminbolt disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted operation
  • Error-free performance

adminbolt does not guarantee that the Service will meet all operational requirements or that it will function without interruption. Customers should implement appropriate operational safeguards, including backups and monitoring.

14. Limitation of Liability

To the maximum extent permitted by applicable law: adminbolt Inc. and its affiliates, officers, employees, and partners will not be liable for any indirect, incidental, consequential, or special damages arising from use of the Service.

This includes but is not limited to:

  • Loss of profits
  • Loss of data
  • Loss of business opportunities
  • System downtime
  • Security incidents affecting customer infrastructure

In no event will the total liability of adminbolt Inc. exceed the total amount paid by the Customer for the Service during the twelve months preceding the claim. Some jurisdictions do not allow certain limitations of liability. In such cases, the limitation applies to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless adminbolt Inc. and its affiliates from claims, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Violations of applicable laws
  • Content hosted or managed through your infrastructure
  • Claims brought by your customers or third parties

This indemnification obligation includes reasonable legal costs.

16. Suspension and Termination

adminbolt may suspend or terminate access to the Service if:

  • These Terms are violated
  • The Service is used for illegal or abusive activities
  • Payment obligations are not fulfilled
  • Continued access creates operational or security risks

adminbolt may also discontinue parts of the Service with reasonable notice.

Upon termination:

  • The license to use the Software ends
  • Access to associated services may be revoked
  • Certain provisions of these Terms remain in effect

17. Changes to These Terms

adminbolt may update these Terms periodically. When changes occur:

  • The updated version will be published on adminbolt.com
  • The effective date will be updated
  • Significant changes may be communicated through email or service notifications

Continued use of the Service after updated Terms are published constitutes acceptance of the revised Terms. Customers who do not agree with the updated Terms must discontinue use of the Service.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms or use of the Service will be resolved in the courts located in Delaware, United States. The parties agree to attempt to resolve disputes in good faith before initiating legal proceedings.

19. Compliance With Export and Sanctions Laws

Users must comply with applicable export control and sanctions laws. The Service may not be used by individuals or entities located in jurisdictions subject to applicable trade sanctions or export restrictions. Users agree not to export, re-export, or transfer the Software in violation of applicable laws.

20. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely reflects the original intent.

21. Entire Agreement

These Terms constitute the entire agreement between adminbolt Inc. and the Customer regarding the use of the Service. They supersede prior agreements, communications, or understandings related to the Service. Additional agreements may apply to enterprise customers under separate written contracts.
